Terms of Service

The service

EZ Invoice lets you create and store invoices, estimates, expenses, and related records, export files, optionally collect payment through processors you connect, and optionally push paid invoices and expenses to QuickBooks Online or Xero. We may change or discontinue features.

EZ Invoice is a paid service. You choose monthly billing at $15 per month or annual billing at $149 per year. Features are the same on either interval. Taxes may apply. We may change the price with notice; your then-current term stays at the rate you already paid until it renews.

Your account

• You must provide a real email you control and keep your password secret.
• You are responsible for activity on your account, including linked emails that share the same login.
• The product is for business use. You must be old enough to form a contract in your location.
• You can export or delete your account in Settings → Account.

Your records

You own the content you put in EZ Invoice (invoices, clients, receipts, logos, and so on). You grant us a limited license to host, display, and transmit that content only as needed to run the product and the integrations you turn on.

You are responsible for the accuracy of your invoices, tax, and books. EZ Invoice is not a law firm, CPA, or tax advisor. PDFs, sales-tax helpers, and accounting push are tools—not professional advice.

Payments, cloud, and accounting

Stripe, Square, PayPal, Google Drive, OneDrive, Box, QuickBooks Online, and Xero are separate companies. When you connect them, you also agree to their terms. We are not a bank or a payment processor. Money your clients pay on invoices goes through the processor you chose, not through Wise River, LLC, unless we later say otherwise in writing. The EZ Invoice subscription is a separate fee you pay Wise River, LLC for the software.

Accounting push is one-way from EZ Invoice to QuickBooks Online or Xero. Those ledgers remain your books of record. We do not promise a complete or error-free sync. Review what lands there.

Acceptable use

• Do not use the product for fraud, spam, or anything illegal.
• Do not try to access another user’s data or disrupt the service.
• Do not upload malware or content you do not have the right to use.
• Do not scrape, overload, or reverse-engineer the service except as allowed by law.

Availability

We aim to keep EZ Invoice running, but we do not guarantee uptime, backups, or that every integration will stay available. Keep your own copies of important records. You can download a JSON export from Settings → Account.

Disclaimer

THE SERVICE IS PROVIDED “AS IS.” TO THE FULLEST EXTENT ALLOWED BY LAW, Wise River, LLC DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT YOUR DATA WILL NEVER BE LOST.

Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW, Wise River, LLC IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR A CLAIM RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US FOR EZ Invoice IN THE TWELVE MONTHS BEFORE THE CLAIM, OR FIFTY U.S. DOLLARS ($50) IF YOU PAID NOTHING.

Indemnity

You will defend and indemnify Wise River, LLC against claims that arise from your content, your invoices, your use of third-party processors or ledgers, or your violation of these terms.

Termination

You may stop using the product and delete your account at any time. We may suspend or close an account that violates these terms or that we reasonably believe is a risk to the service or other users. After deletion, content you already sent to a processor, ledger, or cloud folder is not removed by us.

Changes

We may update these terms. The date at the top of this page is the current version. Continued use after a change means you accept the new terms. If you do not, delete your account.

Law

These terms are governed by the laws of the United States and the state where Wise River, LLC is organized, without regard to conflict-of-law rules. If a part of these terms cannot be enforced, the rest still applies.
